CRITICAL NOTICE : Advoira is an independently operated online platform and is NOT a registered company, corporation, or legal entity in any jurisdiction. The platform is in its early stage of operation. All terms, features, pricing, and policies are subject to change at any time without notice. By using this platform, you explicitly acknowledge and accept these facts before proceeding.
1. Acceptance of Terms
Advoira is a discovery and matching platform that connects:
- By accessing, browsing, registering on, or using the Advoira platform ("Platform", "Website", "Service") in any way, you ("User", "you", "your") unconditionally agree to be legally bound by these Terms of Service ("Terms"), our Privacy Policy, and any other policies published on the Platform.
- If you do not agree with any part of these Terms, you must immediately stop using the Platform. Your continued use of the Platform at any time constitutes your full and unconditional acceptance of these Terms as they exist at that time.
- These Terms constitute the entire agreement between you and Advoira with respect to your use of the Platform and supersede all prior agreements, representations, or understandings.
2. Nature of the Platform & Operator Status
Advoira is an independently operated digital platform designed to facilitate discovery and initial connection between:
- Businesses and organisations seeking CRM (Customer Relationship Management) and ERP (Enterprise Resource Planning) advisory, implementation, or related consulting expertise
- Independent consultants and consulting firms offering such services
Advoira is strictly a neutral, passive intermediary. Advoira does NOT:
- Employ, engage, supervise, manage, direct, or control any consultant listed on the platform
- Provide CRM, ERP, or any software advisory, implementation, or consulting services itself
- Guarantee, warrant, or endorse the services, expertise, credentials, or outcomes of any consultant
- Act as an agent, representative, or partner of any consultant or business
- Participate in, oversee, or take responsibility for any project, engagement, or agreement between a consultant and a business
- Hold, transfer, or manage any funds between businesses and consultants
- Mediate, arbitrate, or resolve any dispute between any parties
Advoira is NOT affiliated with, endorsed by, partnered with, or commercially connected to any CRM or ERP software vendor including but not limited to Zoho, Salesforce, HubSpot, Oracle, SAP, Microsoft Dynamics, Odoo, NetSuite, Freshworks, Pipedrive, or any other software company. Mentions of any software product are purely descriptive.
Advoira's role begins and ends at facilitating discovery. Everything that happens after a connection is made between a business and a consultant is entirely outside Advoira's scope, responsibility, and liability.
3. Early-Stage Platform — Ongoing Changes
Advoira is currently in its early stage of operation. By using this Platform, you expressly acknowledge and accept the following:
- The Platform, its features, functionality, design, and content are under active development and may change significantly at any time
- These Terms of Service, the Privacy Policy, pricing, and all other policies may be updated, revised, replaced, or removed at any time without prior notice
- The Platform may experience interruptions, bugs, errors, data loss, downtime, or unexpected behaviour
- Certain features described or implied on the Platform may not yet be fully functional, may be experimental, or may be discontinued
- The number of consultants, reviews, ratings, and statistics displayed on the Platform may include estimates or test data during early operation
- Advoira is not a registered company in any jurisdiction at this time. This status may change in the future.
Your continued use of the Platform constitutes acceptance of whatever state the Platform is in at any given time.
4. User Eligibility & Account Registration
To use the Platform, you must:
- Be at least 18 years of age
- Have the legal capacity to enter into a binding agreement
- Not be prohibited from using the Platform under any applicable law
When you create an account, you agree to :
- Provide accurate, current, and complete information
- Maintain and promptly update your information to keep it accurate
- Keep your account credentials confidential and not share them with any third party
- Be solely responsible for all activity that occurs under your account
- Notify us immediately at legal@advoira.com if you become aware of any unauthorised use of your account
Advoira reserves the right to refuse registration, suspend, or permanently terminate any account at any time, for any reason, including without limitation where we believe information provided is inaccurate, false, or misleading, or where we believe the account is being used in a manner that is harmful to the Platform or its users.
5. Terms Specific to Consultants & Consultancies
A. Profile Accuracy & Responsibility
If you register as a consultant or consultancy on Advoira, you represent, warrant, and agree that:
- All information provided in your profile is accurate, truthful, current, and not misleading in any way
- You have the legal right and professional qualification to offer the services listed on your profile
- All certifications, qualifications, years of experience, past clients, and project outcomes stated in your profile are genuine and verifiable
- You will promptly update your profile if any information becomes inaccurate or outdated
- You will not misrepresent your affiliation with any software vendor, including claiming to be an official partner, certified reseller, or authorised representative of any CRM or ERP company unless you hold a current, valid, and verifiable certification or partnership status with that company
Advoira does not verify, validate, or independently confirm any information submitted by consultants. The accuracy of all profile content is entirely the consultant's responsibility. Advoira expressly disclaims any liability arising from inaccurate, misleading, or false consultant profiles.
B. Professional Conduct
As a consultant on the Platform, you agree to:
- Respond to business inquiries and discovery call requests within a reasonable timeframe
- Honour the commitment to offer a free discovery call as indicated on your profile
- Conduct all communications and engagements with businesses professionally and ethically
- Not use the Platform to solicit, promote, or engage in any activity that is illegal, fraudulent, deceptive, or harmful
- Not contact businesses outside of their stated purpose or engage in unsolicited marketing
C. Professional Conduct
Every consultant on the Platform is an independent professional and not an employee, agent, contractor, or representative of Advoira. Consultants are solely responsible for:
- The quality, delivery, and outcome of all services provided to clients
- All tax obligations arising from income earned through engagements sourced via the Platform
- Maintaining their own professional indemnity insurance or any other relevant insurance
- Complying with all applicable laws, regulations, and professional standards in their jurisdiction
- All agreements, contracts, and obligations they enter into with businesses
6. Terms Specific to Businesses & Organisations
If you use Advoira to search for or engage with consultants, you acknowledge and agree that:
- You are solely responsible for evaluating, selecting, and vetting any consultant before engaging their services
- Advoira does not recommend, endorse, or guarantee any consultant on the Platform
- Any decision to hire or engage a consultant is made entirely at your own risk and discretion
- All agreements, contracts, payments, and arrangements between you and any consultant are made directly between those parties, with no involvement from Advoira
- Advoira has no liability whatsoever for the outcome, quality, timeliness, or impact of any consultant's services
- The discovery call provided through the Platform is an initial conversation tool only and does not constitute a formal recommendation or endorsement
- You will not attempt to circumvent the Platform's intended use or misuse consultant contact information obtained through the Platform
7. Discovery Calls
Advoira facilitates free discovery calls as a core feature of the Platform. With respect to discovery calls:
- Discovery calls are offered as a goodwill gesture by consultants and are not a guaranteed service obligation enforceable against Advoira
- Advoira does not participate in, record (unless explicitly stated), moderate, or take any responsibility for the content of any discovery call
- Any information shared during a discovery call is shared directly between the business and the consultant — Advoira is not a party to that conversation
- Advoira does not guarantee that a consultant will be available for a discovery call within any specific timeframe
- Scheduling, rescheduling, or cancelling discovery calls is the responsibility of the parties involved
- Advoira is not liable for any loss, harm, or misunderstanding arising from any discovery call
5. Payments, Subscriptions & Refunds
A. Consultant Subscription Plans
Consultants and consultancies may subscribe to paid listing plans on the Platform. By subscribing:
- You authorise Advoira to charge the applicable subscription fee on a recurring basis (monthly or annually) through the payment method provided
- You are responsible for ensuring your payment method remains valid and up to date
- Subscription fees are charged in advance for each billing period
- You may cancel your subscription at any time, but no refunds will be issued for the current billing period unless otherwise stated in the Cancellation Policy
B. Pricing Changes
Advoira reserves the right to change, modify, introduce, or remove subscription plans and pricing at any time. Existing subscribers will be notified of pricing changes before their next renewal date. Continued use of the subscription after a pricing change constitutes acceptance of the new pricing.
C. Payment Processing
All payments are processed by third-party payment providers (such as Stripe). Advoira does not store full payment card details. Payment processing is subject to the terms and privacy policy of the respective payment provider. Advoira is not responsible for any errors, failures, or disputes arising from payment processing.
D. No Commission
Advoira does not charge any commission, percentage, or fee on any project, engagement, or agreement between a consultant and a business. All commercial arrangements between those parties are entirely their own.
E. Taxes
Users are solely responsible for determining and paying any applicable taxes arising from their use of the Platform, including but not limited to GST, income tax, or any other tax applicable in their jurisdiction. Advoira does not provide tax advice and is not responsible for any tax obligations of its users.
9. Free Access & Early Access Period
During the early stage of the Platform's operation, Advoira may offer free listing access to consultants. This free access:
- Is offered at Advoira's sole discretion and may be withdrawn or modified at any time without prior notice
- Does not create any contractual obligation or entitlement on the part of the consultant
- May be converted to a paid plan at any time, at which point consultants will be given reasonable notice before charges begin
- Does not guarantee any level of lead generation, visibility, or platform performance
10. Intellectual Property
All content, branding, design, code, functionality, and materials on the Platform — including but not limited to the Advoira name, logo, visual identity, website design, and platform architecture — are owned by or licensed to the Platform operator and are protected by applicable intellectual property laws.
You may not copy, reproduce, modify, distribute, display, publish, or create derivative works from any Platform content without prior written permission.
By submitting content to the Platform (including profile information, descriptions, photos, and reviews), you grant Advoira a non-exclusive, worldwide, royalty-free, perpetual licence to use, display, reproduce, and distribute that content for the purposes of operating and promoting the Platform. You retain ownership of your own content but represent that you have the right to grant this licence.
Advoira respects intellectual property rights. If you believe any content on the Platform infringes your intellectual property, contact us at legal@advoira.com.
11. Prohibited Conduct
You agree that you will NOT use the Platform to:
- Provide false, inaccurate, misleading, or fraudulent information in any form
- Impersonate any person, company, or entity
- Claim affiliations, certifications, or partnerships you do not hold
- Engage in any activity that is illegal under applicable law
- Harass, threaten, abuse, or harm any other user of the Platform
- Scrape, crawl, or systematically extract data from the Platform without written permission
- Attempt to gain unauthorised access to any part of the Platform or its systems
- Introduce viruses, malware, or any other harmful code to the Platform
- Use the Platform to send unsolicited commercial communications
- Circumvent or disable any security or access control features of the Platform
- Use the Platform in any way that could damage, overburden, or impair its infrastructure
- Use consultant contact information obtained through the Platform for any purpose other than genuine engagement through the Platform
- Post or share content that is defamatory, discriminatory, obscene, or harmful
Violation of any of the above may result in immediate account suspension or termination, and may also result in legal action where applicable.
12. Reviews & Ratings
The Platform may allow businesses to leave reviews or ratings for consultants. With respect to reviews:
- Reviews must be honest, accurate, and based on genuine experience with the consultant
- Advoira does not verify reviews and is not responsible for the accuracy of any review
- Advoira reserves the right to remove any review that it determines, in its sole discretion, to be false, abusive, defamatory, or in violation of these Terms
- Consultants may not solicit, incentivise, or manipulate reviews in any way
- Advoira is not liable for any harm caused to any party arising from reviews or ratings displayed on the Platform
13. Disclaimers & No Warranties
THE PLATFORM IS PROVIDED STRICTLY ON AN "AS IS" AND "AS AVAILABLE" BASIS. ADVOIRA MAKES NO WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, ACCURACY, RELIABILITY, OR NON-INFRINGEMENT.
Advoira specifically does not warrant or represent that:
- The Platform will be available at all times or free from interruptions, errors, or defects
- Any consultant listed on the Platform is qualified, competent, licensed, or suitable for your needs
- Any CRM or ERP implementation or advisory engagement will be successful or produce desired outcomes
- Information on the Platform is current, accurate, or complete
- The Platform is free from viruses or other harmful components
- Results obtained through use of the Platform will meet your expectations
You use the Platform and engage with consultants entirely at your own risk.
14. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, ADVOIRA, ITS OPERATOR, AND ANY INDIVIDUALS ASSOCIATED WITH ITS OPERATION SHALL NOT BE LIABLE FOR ANY LOSS OR DAMAGE OF ANY KIND ARISING FROM OR IN CONNECTION WITH YOUR USE OF THE PLATFORM.
This limitation applies to all forms of damages including but not limited to:
- Direct, indirect, incidental, consequential, special, exemplary, or punitive damages
- Loss of profits, revenue, business, data, goodwill, or opportunities
- Any financial loss arising from engaging with a consultant found through the Platform
- Any harm arising from a failed, delayed, or poor-quality consulting engagement
- Any harm arising from inaccurate information in a consultant's profile
- Any data loss, security breach, or unauthorised access to your account or data
- Any harm arising from Platform downtime, errors, bugs, or technical failures
- Any harm arising from changes to the Platform, its features, or these Terms
- Any dispute between a business and a consultant
- Any claim related to intellectual property infringement by a consultant
This limitation of liability applies regardless of whether Advoira has been advised of the possibility of such damages, and regardless of the legal theory under which such damages are claimed.
In any event, if Advoira is found liable for any reason, the maximum aggregate liability of Advoira to you for all claims shall not exceed the total amount you have paid to Advoira in subscription fees in the three (3) months preceding the event giving rise to the claim, or INR 1,000 (whichever is lower).
15. Indemnification
You agree to fully indemnify, defend, and hold harmless Advoira and its operator from and against any and all claims, liabilities, damages, losses, costs, and expenses (including reasonable legal fees) arising out of or relating to:
- Your use or misuse of the Platform
- Any services you provide to or receive from another user of the Platform
- Any agreement, contract, or dispute between you and another user
- Any inaccurate, false, or misleading information you submit to the Platform
- Your violation of these Terms or any applicable law or regulation
- Your infringement of any third-party rights including intellectual property rights
- Any claim by a third party arising from your use of the Platform
16. Third-Party Links & Services
The Platform may contain links to external websites, tools, or services including but not limited to LinkedIn, software vendor websites, consultant personal websites, and scheduling tools. Advoira is not responsible for and does not endorse the content, privacy practices, security, or reliability of any third-party website or service. Your use of any third-party website is at your own risk and subject to the terms and policies of that website.
17. Modifications to the Platform & These Terms
Advoira reserves the absolute right to:
- Modify, update, suspend, or discontinue any part of the Platform at any time without prior notice
- Add, remove, or change features, pricing plans, or functionality at any time
- Update or replace these Terms at any time
Updated Terms will be posted on the Platform with a revised effective date. Your continued use of the Platform after any update constitutes your full acceptance of the revised Terms. If you do not agree with updated Terms, your only remedy is to stop using the Platform. Advoira is not obligated to individually notify users of changes to these Terms, though it may do so at its discretion.
17. Account Suspension & Termination
Advoira reserves the right to suspend, restrict, or permanently terminate your account and access to the Platform at any time, for any reason, including but not limited to:
- Violation of any provision of these Terms
- Submission of false, misleading, or fraudulent information
- Behaviour that is harmful, abusive, or disruptive to other users or the Platform
- Non-payment of applicable subscription fees
- Any conduct that Advoira determines, in its sole discretion, to be harmful to the Platform, its users, or its reputation
Advoira is not obligated to provide prior notice or a reason for account termination in all cases.
Upon termination, your right to use the Platform ceases immediately. Advoira has no obligation to retain or provide you with a copy of your account data following termination, though it may do so at its discretion.
You may terminate your account at any time by contacting us at legal@advoira.com. Termination of your account does not entitle you to a refund of any subscription fees paid.
19. Privacy
Your use of the Platform is also governed by our Privacy Policy, which is incorporated into these Terms by reference. By using the Platform, you consent to the collection, use, and handling of your information as described in the Privacy Policy. In the event of any conflict between these Terms and the Privacy Policy, these Terms shall prevail.
20. No Professional Advice
Nothing on the Platform constitutes legal, financial, tax, investment, or professional advice of any kind. Advoira is a discovery platform only. Any information, tools, or content on the Platform are provided for informational purposes only and should not be relied upon as professional advice. You should seek independent professional advice appropriate to your specific circumstances before making any business, legal, or financial decisions.
21. Force Majeure
Advoira shall not be held liable for any failure or delay in performance arising from causes beyond its reasonable control, including but not limited to acts of God, natural disasters, internet or telecommunications failures, power outages, government actions, pandemics, cyberattacks, or any other event outside Advoira's reasonable control.
22. Severability
If any provision of these Terms is found to be invalid, illegal, or unenforceable by a court of competent jurisdiction, the remaining provisions shall continue in full force and effect. The invalid or unenforceable provision shall be modified to the minimum extent necessary to make it valid and enforceable.
23. Waiver
Advoira's failure to enforce any right or provision of these Terms at any time shall not be construed as a waiver of that right or provision. No waiver shall be effective unless made in writing by Advoira.
24. Entire Agreement
These Terms, together with the Privacy Policy and any other policies published on the Platform, constitute the entire agreement between you and Advoira with respect to your use of the Platform. They supersede all prior communications, representations, negotiations, and agreements, whether written or oral, relating to the subject matter herein.
25. Governing Law & Dispute Resolution
As Advoira is not currently a registered legal entity in any jurisdiction, no specific governing law or formal legal jurisdiction is established at this time.
Any disputes, claims, or concerns arising from your use of the Platform will be handled in good faith by the Platform operator. We encourage users to contact us directly at legal@advoira.com before pursuing any formal action.
As the Platform formalises its legal structure and jurisdiction, this section will be updated accordingly with the applicable governing law, jurisdiction, and dispute resolution mechanism.
By using the Platform in its current early-stage state, you accept the absence of a formally established governing jurisdiction and agree to attempt good-faith resolution of any disputes directly with the Platform operator first.
